Mr. Grossman is a commercial transactions and litigation attorney with 29 years of law firm and in-house practice experience focused on commercial real estate, business, and technology transactions and disputes. His experience includes: commercial real estate acquisition, disposition and lease transactions; commercial real estate disputes; contractor and consulting services forms and transactions; technology license transactions; employer/employee relationships and disputes; developing and implementing corporate internal legal and compliance processes, including HIPAA policies, procedures and compliance; trademark and copyright registrations and issues; U.S. and offshore corporate planning, structuring and record keeping; offshore BPO issues; commercial litigation; and M&A and divestiture transactions, including due diligence reviews and investigations. He as handled a variety of matters including:

  • Representing a major Chicago financial institution and assisting Senior Counsel with creation of form agreements for construction management and other service areas
  • Representing a major Chicago financial institution’s Corporate Real Estate department and conducting acquisition-based real and leased property due diligence reviews; and leased and owned property acquisition and disposition transactions
  • Developed form agreements for construction management, professional services, contractor services, and other supplier/vendor services areas
  • Drafted, negotiated, and advised on a broad array of technology and services agreements such as software licenses, consulting services, technology transfer, employment, and confidentiality agreements
  • Prepared form software license and technology services agreements for Minnesota-based technology services group and for Iowa-based performance management and capacity planning software company
  • Prepared license/franchise agreements for a company that promotes amateur sports
  • Developed and implemented HIPAA compliance program
  • Drafted, negotiated, and managed client and vendor contracts for medical billing services, for SAP implementations and staffing, and for subcontractor services
  • Conducted and managed due diligence reviews and investigations in connection with corporate acquisitions, including leased and owned property reviews involving hundreds of properties
  • Acted as Vice President, General Counsel, and Secretary from 2003 – 2007 for a privately held medical billing services company and a SAP enterprise resource planning company and was responsible for companies’ U.S. and India corporate legal practices and affairs, including carrying out corporate reorganization and divestitures, re-negotiating long term commitments with vendors and landlords, re-branding, managing executive replacements and staff reductions, and providing status reports to Board and bank lender
